Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (either an individual or an entity, “User” or “you”) and PatinAI LLC (“PatinAI”, “we”, “us”, or “our”) governing your access to and use of PatinAI’s hosted backend infrastructure, APIs, servers, and cloud rendering services (collectively, the “Services”).

By creating an account, connecting to, or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Scope & Relationship to Distributed Software

  1. Separation of Client and Services: The Services covered by these Terms consist exclusively of the hosted, remote server-side infrastructure, computing resources, and APIs operated by PatinAI.
  2. Open-Source Client Software: PatinAI may distribute local client software (e.g., PatinAI Renderer) to interface with the Services. Any distributed client code governed by the GNU General Public License version 3 (GPLv3) or other open-source licenses is governed solely by its respective open-source license.
  3. No Further Restrictions on GPL Code: Nothing in these Terms is intended to limit, restrict, or modify your rights under the GPLv3 with respect to the distributed client software, including your right to inspect, modify, run, and redistribute the client source code. These Terms govern only your ongoing access to PatinAI’s remote computing systems, APIs, and backend services.

2. Access to the Services & Accounts

  1. Right to Access: Subject to your compliance with these Terms, PatinAI grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services via supported API calls or authorized client interfaces.
  2. Account Security: If you are issued an API key, account credentials, or authentication tokens, you are responsible for maintaining their confidentiality. You are fully responsible for all activities that occur under your credentials.
  3. Service Availability: Access to the backend is not guaranteed. PatinAI reserves the right to modify, suspend, throttle, or discontinue any aspect of the Services at any time without prior notice.

3. Acceptable Use Policy

You agree to use the Services only for lawful purposes. You agree not to:

  • Use the Services to transmit, render, or generate any malicious code, malware, or unlawful, harassing, or infringing content.
  • Interfere with, disrupt, overburden, or compromise the integrity or security of PatinAI’s servers, networks, or infrastructure (e.g., denial-of-service attacks, continuous automated scraping without authorization).
  • Attempt to gain unauthorized access to our servers, other user accounts, or computer systems connected to the Services.
  • Resell, lease, or commercially sublicense direct access to your PatinAI backend API credentials to third parties without prior written consent from PatinAI.
  • Bypass or circumvent any rate limits, authentication barriers, or security measures implemented on the Services.

(Note: You retain the freedom under the GPL to modify the client software, but you may not use a modified or custom client to abuse, attack, or violate the technical constraints of PatinAI’s backend servers.)

4. Intellectual Property Rights

  1. Backend Infrastructure: All rights, title, and interest in and to the backend code, cloud infrastructure, APIs, algorithms, designs, service marks, and proprietary server-side logic remain the exclusive intellectual property of PatinAI LLC.
  2. User Data & Inputs: You retain all ownership rights in any files, scenes, data, or prompts (“Input Data”) you upload to the Services for rendering or processing.
  3. Service Feedback: If you provide suggestions, feedback, or ideas regarding the Services, PatinAI may use that feedback freely without restriction or compensation to you.

5. Termination & Suspension

  1. By PatinAI: We reserve the right to suspend or terminate your API keys, account, or access to the Services immediately, without prior notice, if you breach any provision of these Terms or engage in behavior harmful to our infrastructure or other users.
  2. Effect of Termination: Upon termination, your right to access the remote Services will cease immediately. Termination of your service access does not revoke or alter any rights granted to you under the GPLv3 regarding client software already in your possession.

6. Warranty Disclaimer

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS. PATINAI LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, UPTIME GUARANTEES, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR COMPATIBLE WITH ANY SPECIFIC SYSTEM OR FILE FORMAT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. NO CONSEQUENTIAL DAMAGES: IN NO EVENT SHALL PATINAI LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
  2. DAMAGE CAP: PATINAI’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO PATINAI FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

8. Privacy & Data Handling

Your use of the Services is subject to our Privacy Policy, which details how we collect, store, and process your personal data and technical metadata. By using the Services, you consent to our data handling practices described therein.

9. Governing Law & Jurisdiction

These Terms and any disputes arising out of or related to your use of the Services shall be governed by and construed in accordance with the laws of the United States of America and the State of Delaware, without regard to conflict of law principles. Any legal suit or proceeding related to the Services shall be brought exclusively in the courts located in the State of Delaware.

10. Modifications to Terms

PatinAI reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last updated” date at the top of these Terms or via email/in-app notification. Your continued access to the Services following any updates constitutes your agreement to the modified Terms.
